Terms and Conditions

1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and Mekong Growth Studio ("Agency", "we", "us", or "our"), concerning your access to and use of our marketing and digital growth services. By engaging our services, you agree that you have read, understood, and agreed to be bound by all of these Terms & Conditions.

2. Services & Deliverables

Mekong Growth Studio provides specialized performance marketing, SEO, and data-driven strategy services. The specific scope, timelines, and deliverables for each project will be detailed in a separate Statement of Work (SOW) or formal proposal. We reserve the right to modify our service offerings or processes to ensure alignment with current marketing best practices and data privacy standards.

3. Payment & Invoicing

Payment terms are established within the specific SOW for your project. Unless otherwise stated:

• Invoices are generated and delivered electronically.
• Payment is due within 14 days of the invoice date.
• All fees are explicitly stated and must be paid in full; any applicable local taxes or transaction fees are the responsibility of the Client.
• Late payments may result in a temporary suspension of active campaigns and services until the account is brought current.

4. Intellectual Property

The Client retains full ownership of all pre-existing materials, brand assets, and proprietary data provided to the Agency for the execution of campaigns. Upon full payment for our services, the Client will own the final deliverables produced directly for their brand. Mekong Growth Studio retains ownership of our proprietary methodologies, internal workflows, algorithms, code libraries, and general knowledge developed during the engagement.

5. Limitation of Liability

While we strive for exceptional data-driven results, Mekong Growth Studio cannot guarantee specific financial returns, platform rankings, or instantaneous traffic surges due to the independent nature of third-party platforms (e.g., search engines, advertising networks). Under no circumstances shall our liability exceed the total amount paid by the Client to the Agency during the three (3) months immediately preceding the event giving rise to the claim.

6. Governing Law

These Terms shall be governed by and defined following the laws of Vietnam. Mekong Growth Studio and yourself irrevocably consent that the courts of Vietnam shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
